These Terms of Service (“Terms”) are an agreement between you and Open Science (“Open Science,” “we,” “us,” or “our”). They govern your use of weareopenscience.com, any Open Science account, and purchases from Open Science.

By accessing the Site, creating an account, or placing an order, you agree to these Terms and the policies linked from them. If you do not agree, do not use the Site or purchase products.

Eligibility and Purchaser Representations

You must be at least 21 years old and legally able to enter a binding agreement. Products may be purchased only by qualified researchers, laboratories, institutions, or other persons lawfully authorized to acquire and handle research materials.

By placing an order, you represent that the information you provide is accurate and that your purchase, possession, handling, and intended use are lawful in your jurisdiction. We may refuse, limit, cancel, or require verification for any order or account where we reasonably believe these requirements are not met, misuse or fraud may be involved, or fulfillment would violate law or policy.

Research Use Only

All Open Science products are sold strictly for lawful laboratory, analytical, or in-vitro research use. They are not for human or veterinary use, consumption, administration, compounding, diagnosis, treatment, prevention, or any therapeutic or in-vivo application. Products are not sold as drugs, foods, dietary supplements, cosmetics, or medical devices.

You are solely responsible for lawful acquisition, storage, handling, testing, use, and disposal by properly trained personnel. You agree not to resell, market, label, administer, or use any product for an unlawful, clinical, therapeutic, household, or consumer purpose.

Product Information and Certificates of Analysis

We work to present accurate product names, descriptions, strengths, availability, images, and batch documentation. Packaging, label placement, and other non-material details may change. The Certificate of Analysis (COA) associated with the applicable batch controls if it differs from representative Site copy or imagery.

Product information and COAs are not a promise that any product is suitable for a particular protocol, experiment, or result. You are responsible for reviewing the product page, label, batch information, and COA before use.

Pricing, Orders, and Payment

Prices, promotions, inventory, and purchase limits may change without notice. We may correct typographical, pricing, catalog, or inventory errors and may cancel affected orders before shipment. An order confirmation confirms that we received your order; it does not guarantee acceptance or availability.

You authorize Open Science and its payment providers to charge the amount disclosed at checkout, including merchandise, taxes, shipping, and any optional services. We may decline or cancel an order before shipment because of inventory limitations, payment or fraud concerns, pricing errors, purchase-limit violations, legal restrictions, or suspected misuse. If we cancel a paid order, we will issue a refund of the canceled amount to the original payment method.

Shipping, Cancellations, Returns, and Refunds

Shipping methods, charges, processing timeframes, and estimated delivery dates are shown at checkout or in our Shipping Policy. Delivery estimates are not guarantees and may be affected by carrier events, weather, address issues, security reviews, inventory, or events outside our control.

Cancellation requests are not guaranteed because fulfillment may begin shortly after an order is placed. Returns, replacements, and refunds are governed by our Returns & Refunds Policy, which is incorporated into these Terms.

Accounts and Acceptable Use

You are responsible for maintaining the confidentiality of your account credentials and for activity under your account. You may not share accounts, impersonate another person or organization, submit false information, bypass security or purchase limits, interfere with Site operations, introduce malware, use unauthorized automated access, misuse promotions or chargebacks, or use the Site to facilitate unlawful product use or resale.

We may suspend or close accounts used for fraud, abuse, chargeback abuse, policy violations, or unlawful activity.

Intellectual Property and Third-Party Services

The Open Science name, branding, Site design, text, graphics, product imagery, labels, and other content are owned by or licensed to Open Science and are protected by applicable law. You may view and print reasonable portions for internal research-purchasing purposes only. No other use is permitted without prior written authorization.

The Site may link to or integrate payment processors, carriers, analytics providers, and other third-party services. Their services, availability, terms, and privacy practices are controlled by them.

Disclaimers and Limitation of Liability

To the fullest extent permitted by law, the Site, products, content, and services are provided “as is” and “as available.” We disclaim warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted access, and suitability for any protocol or result, except where a warranty or right cannot legally be excluded.

To the fullest extent permitted by law, Open Science and its owners, officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, punitive, or consequential damages; loss of data, profits, research, opportunity, or goodwill; misuse of products; or carrier and third-party acts. Our aggregate liability arising from a product, order, or Site use will not exceed the amount you paid for the product or order giving rise to the claim.

Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Open Science and its owners, officers, employees, and contractors from claims, losses, liabilities, costs, and reasonable legal fees arising from your unlawful or prohibited use of the Site or products, breach of these Terms, misuse or resale of products, or violation of another person’s rights.

Governing Law and Changes

These Terms are governed by the laws of [State], without regard to conflict-of-law principles, except where applicable law requires otherwise. If any provision is unenforceable, the remaining provisions remain in effect.

We may update these Terms to reflect operational, product, or legal changes. The “Last updated” date identifies the latest version. Continued use after changes are posted constitutes acceptance of the revised Terms.
